TERMS AND CONDITIONS OF SALE

  1. Interpretation
    1. In theseTerms:

“Company” means [insert details]

“Customer ” means the purchaser of Goods from the Company.

“Goods”meansallgoodssoldand/ordeliveredbytheCompanytotheCustomer. “Terms”meansthesetermsandconditionsofsale.

  • Application
    • TheseTermsapplytoallcontractsforthesaleofGoodsbytheCompany.
    • Noamendment,alteration,waiverorcancellationofanyoftheseTermsisbindingonthe CompanyunlessconfirmedbytheCompanyinwriting.
    • TheCustomeracknowledgesthatnoemployeeoragentoftheCompanyhasanyrightto makeanyrepresentation,warrantyorpromiseinrelationtotheGoodsorthesaleofthe GoodsotherthanascontainedintheseTerms.
  • Prices
    • Pricesaredeterminedatthetimeoforderand,priortopaymentofthedeposit,aresubjectto change withoutnotice.
  • Payment
    • PaymentsaretobemadetotheCompanywithoutanydeductionordiscountotherthanas statedintheseTermsorintherelevantinvoiceorstatement.
    • Adepositof35%oftheinvoicepricemustbepaidwhenplacinganorder.
    • WhereGoodsareorderedwithfabricselectedbytheCustomer,thefabricmustbepaidfor infullatthetimethedepositispaid.
    • Thebalanceoftheinvoicepricemustbepaidinfullbeforedelivery.
    • Interestispayableonalloverdueaccountscalculatedonadailybasisattherateof1.5%per monthasfromthedatedueforpaymentuntilpaymentisreceivedbytheCompany.
  • Delivery
    • TheCustomermust,within5daysofbeingnotifiedoftheiravailability,collectoraccept deliveryoftheGoodsandpaythebalanceoftheinvoiceprice.
    • IftheCustomerfailstocollecttheGoodsoracceptdeliverywithin21daysofbeingnotified oftheiravailability,theCompanymayterminatethiscontract,keepthedepositandresell theGoods.
    • Inadditiontoclause4.4,theCompanyreservestherighttochargetheCustomerstorageon goodsnotcollectedordeliveredwithin5daysofnotificationoftheiravailabilityattherateof

$35.00 per week or part thereof.

  • TheCompanyreservestherighttodelivertheGoodsinwholeorininstalments,aswellasto deliverpriortothedatefordeliveryand,insuchevent,theCustomermustnotrefusetotake deliveryoftheGoods.
    • AnyfailureonthepartoftheCompanytodeliverinstalmentswithinanyspecifiedtimedoes notentitletheCustomertorepudiatethecontractwithregardtothebalanceremaining undelivered.

  • Title
    • LegalandbeneficialownershipoftheGoodswillnotpasstotheCustomeruntilsuchtimeas theGoodshavebeenpaidinfullincashorclearedfunds.
  • Risk  andInsurance
    • TheGoodsareentirelyattheriskoftheCustomerfromthemomentofdeliverytothe Customer’spointofdeliveryoroncollection,eventhoughtitleintheGoodshasnotpassed totheCustomeratthattime.
    • TheCustomermust,atitsownexpense,maintaintheGoodsandinsurethemforthebenefit oftheCompanyagainsttheft,breakdown,fire,waterandotherrisksasfromthemomentof deliverytotheCustomeranduntiltitleintheGoodshaspassedtotheCustomer.
  • Inspection
    • UnlesstheCustomerhasinspectedtheGoodsandgivenwrittennoticetotheCompany within2daysaftercollectionordeliverythattheGoodsdonotcomplywiththerelevant specificationsordescriptions,theGoodsaredeemedtohavebeenacceptedingoodorder andcondition.
  • Cancellations
    • Noordermaybecancelled,modifiedordeferredwithoutthepriorwrittenconsentofthe Company(whichisattheCompany’ssolediscretion).Ifsuchconsentisgivenitis,atthe Company’selection,subjecttotheCompanybeingreimbursedalllosses,includinglossof profits,andpaidacancellationfee(beingnotlessthan20%oftheinvoicepriceofthe Goods).
  • LimitedLiability
    • TheseTermsdonotaffecttherights,entitlementsandremediesconferredbytheTrade Practices Act1974.
    • TheCompanyisnotsubjectto,andtheCustomerreleasestheCompanyfrom,any liability(includingbutnotlimitedtoconsequentiallossordamage)becauseofanydelayin deliveryorfaultordefectintheGoods.TheCustomeracknowledgesthattheCompanyis not:
      • responsibleiftheGoodsdonotcomplywithanyapplicablesafetystandardorsimilar regulation;and
      • liableforanyclaim,damageordemandresultingfromsuchnon-compliance.
    • IfanystatutoryprovisionsundertheTradePracticesAct1974oranyotherstatuteapplyto thecontractbetweentheCompanyandtheCustomer(Contract)then,totheextentto whichtheCompanyisentitledtodoso,theCompany’sliabilityunderthestatutory provisionsislimited,attheCompany’soption,to:
      • replacementorrepairoftheGoodsorthesupplyofequivalentGoods;or
      • paymentofthecostofreplacingorrepairingtheGoodsorofacquiringequivalentgoods; and

ineithercase,theCompanywillnotbeliabilityforanyconsequentiallossordamageor otherdirectorindirectlossordamage.

  1. Warranty
    1. AllGoodssuppliedarecoveredbysuchwarrantiesasarespecifiedbythemanufacturerand suppliedsubjecttotheproductstandardsdetailedbythemanufacturer.
  1. OndiscoveryofanydefectintheGoods,theCustomermustimmediatelynotifythe Companyinwritingofsuchdefect.TheCustomermustnotcarryoutanyremedialworkto allegeddefectiveGoodswithoutfirstobtainingthewrittenconsentoftheCompanytodoso.
    1. Theprovisionsofanyactorlaw(includingbutnotlimitedtotheTradePracticesAct1974) implyingterms,conditionsandwarranties,oranyotherterms,conditionsandwarranties whichmightotherwiseapplytoorariseoutoftheContractareherebyexpresslynegatived andexcludedtothefullextentpermittedbylaw.
    1. TheCustomerexpresslyacknowledgesandagreesthatithasnotreliedupon,andthe CompanyisnotliableforanyadvicegivenbytheCompany,itsemployees,agentsor representativesinrelationtothesuitabilityforanypurposeoftheGoods.
  1. .  Display andSamples
    1. AnydisplayproductorsampleinspectedbytheCustomerissolelyfortheCustomer’s convenienceanddoesnotconstituteasalebysample.
  1. Contract
    1. ThetermsoftheContractarewhollycontainedintheseTermsandanyotherwritingsigned bybothparties.TheContractisdeemedtohavebeenmadeattheCompany’splaceof businesswhereanorderwasplacedandanycauseofactionisdeemedtohavearisenthere.
  1. Right to EnterPremises
    1. Inanyofthecircumstancesreferredtoinclause14,theCustomer:
      1. authorisestheCompanybyitself,itsagentsorrepresentativesatallreasonabletimes, withoutnotice,toenteronto(withforceifreasonablynecessary)andtoremaininand onanypremiseswheretheGoodsarelocatedinordertocollecttheGoods,without beingguiltyofanymanneroftrespass;and
      1. assignstotheCompanyalltheCustomer’srightstoenterontoandremaininandon suchpremisesuntilalltheGoodshavebeencollected.
  1. ForceMajeure
    1. TheCompanywillnotbeliableforanybreachofcontractduetoanymatterorthingbeyond theCompany’scontrol(includingbutnotlimitedtotransportstoppages,transport breakdown,fire,flood,earthquake,actsofGod,strikes,lock-outs,workstoppages,wars, riotsorcivilcommotion,interventionorpublicauthority,explosionoraccident.
  1. Waiver ofBreach
    1. NofailurebytheCompanytoinsistonstrictperformanceofanyoftheseTermsisawaiver ofanyrightorremedywhichtheCompanymayhave,andisnotawaiverofanysubsequent breachordefaultbytheCustomer.
  1. .  NoAssignment
    1. NeithertheContract,noranyrightsundertheContractmaybeassignedbytheCustomer withoutthepriorwrittenconsentoftheCompany,whichisattheCompany’sabsolute discretion.
  1. Severability
    1. IfanyprovisioncontainedintheseTermsisheldbyacourttobeunlawful,invalidor unenforceable,thevalidityandenforceabilityoftheremainingprovisionsarenotaffected.

    • TheseTermsandtheContractshallbegovernedbythelawofNewSouthWalesandthe partiessubmittothecourtsofNewSouthWalesinrespectofanydisputearising.
